Procedures for Reporting Illegal, Unethical, or Dishonest Conduct
Reporting Channels
The Company has established and disclosed a whistleblowing mailbox (whistleblower@ever-supreme.com.tw) on its official and internal websites for use by both internal and external parties:
(1) Reports shall, in principle, be made on a named basis; anonymous reporting is accepted as an exception.
(2) Whistleblowers shall provide the name of the reported party or other identifying information, along with specific evidence for investigation.
(3) Anonymous reports shall include contact information. If additional information is required and the whistleblower cannot be reached or fails to respond, the Company may close the case.
Confidentiality and Protection
Personnel handling reports shall maintain strict confidentiality regarding the identity of the whistleblower and the content of the report. The Company is committed to protecting whistleblowers from any improper treatment resulting from their reporting.
Handling Procedures
(1) Reports involving general employees shall be escalated to the relevant department head; those involving directors or senior management shall be reported to the Audit Committee.
(2) The responsible unit and relevant personnel shall promptly investigate the facts, with support from the legal or other relevant departments as necessary.
(3) If a violation is substantiated, the reported party shall be required to cease the misconduct immediately and be subject to appropriate actions. Where necessary, legal actions may be taken to seek damages and protect the Company’s interests.
(4) Records of the reporting, investigation process, and results shall be documented and retained for five years, in either physical or electronic form. If litigation arises before the retention period expires, the records shall be preserved until the conclusion of such proceedings.
(5) For substantiated cases, the Company shall require relevant units to review internal control systems and procedures and implement corrective measures to prevent recurrence.
Rewards
For substantiated reports, the Company may grant appropriate rewards to named whistleblowers, in addition to handling the case in accordance with applicable laws and internal regulations.
